Terms of Service

Last updated: [INSERT DATE]

These Terms of Service ("Terms") govern your access to and use of the Discussli website at https://www.discussli.com (the "Site") and the written Q&A profile service we provide (the "Service"). The Service is operated by [LEGAL ENTITY NAME] ("Discussli", "we", "us" or "our"), [REGISTERED ADDRESS]. By purchasing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

Discussli produces a professionally written, first-person Q&A profile based on information you provide through our interview process, and publishes it on the Site. The Service includes the creation of your profile and its ongoing hosting on the Site, together with the ability to request updates, for as long as your subscription remains active.

2. Eligibility

You must be at least 18 years old and able to enter into a legally binding contract to use the Service. If you purchase on behalf of another person or an organisation, you confirm you are authorised to do so and to bind them to these Terms.

3. Fees, Billing and Automatic Renewal

The Service is offered on the following basis:

  • Initial fee: a one-time fee of $100 (USD) to create and publish your profile.
  • Annual renewal: a recurring fee of $50 (USD) per year to keep your profile live and hosted, and to allow updates to be made.

Your first payment of $100 covers the creation of your profile and its first year of hosting. Thereafter, unless you cancel, your subscription automatically renews each year and the $50 annual renewal fee is charged to your payment method on or around the anniversary of your purchase. We will treat your purchase as your consent to these recurring charges.

All payments are processed securely by our third-party payment provider, Stripe, Inc. ("Stripe"). We do not store your full card details. Your use of Stripe is subject to Stripe's own terms and privacy policy. All prices are stated in US dollars and are exclusive of any taxes that may apply; where required, applicable taxes will be added at checkout.

We may change our fees from time to time. Any change to your recurring renewal fee will be notified to you by email in advance of the change taking effect, and will apply from your next renewal. If you do not agree to a price change, you may cancel before it takes effect.

4. Cancellation and Non-Renewal

You may cancel your subscription at any time by [INSERT CANCELLATION METHOD, e.g. using the customer portal link in your account emails, or emailing your@discussli.com]. Cancellation stops future renewal charges.

If you cancel, or if a renewal payment fails and is not resolved after our payment provider's automatic retry attempts, your profile will remain live until the end of the period you have already paid for, after which it will be unpublished and removed from the Site. We are not obliged to retain, restore or reinstate an unpublished profile, although we may do so at our discretion if you resubscribe.

5. Refunds and Your Cancellation Rights

If you are a consumer in the UK or EU, you normally have a legal right to cancel a distance contract within 14 days of purchase (the "cooling-off period") and receive a refund. Because the Service is a bespoke, digital service:

  • By purchasing and asking us to begin work on your profile within the cooling-off period, you expressly request that we start the Service during that period and acknowledge that you will lose your right to cancel once the Service has been fully performed.
  • If you cancel before we have begun work on your profile, you are entitled to a full refund of the initial fee.
  • Once we have begun creating your profile at your request, the initial fee is non-refundable to the extent the Service has been performed.
  • Annual renewal fees are non-refundable once charged, but you can cancel at any time to prevent further renewals, and your profile will remain live until the end of the paid year.

[CONFIRM REFUND POLICY: the above is a reasonable default and must be reviewed for your jurisdiction and business preferences before publication.] Nothing in these Terms affects your non-excludable statutory rights as a consumer.

6. Your Information and Accuracy

You are responsible for the accuracy, completeness and lawfulness of the information you provide for your profile. You confirm that the information is true, that it does not infringe the rights of any third party, and that you have the right to share it. You agree to grant us a non-exclusive, worldwide licence to edit, format, publish and host that information as part of your profile for the duration of your subscription.

7. Editorial Standards

We produce profiles to editorial standards and may decline, edit, or decline to publish content that we consider inaccurate, misleading, unlawful, defamatory, or inconsistent with our standards. Acceptance of payment does not guarantee publication; if we decline to proceed for editorial reasons before work has begun, we will refund your initial fee.

8. No Guarantee of Search Results

We create profiles that are structured for search visibility, and we may describe the aim of ranking for your name. However, search engine rankings and visibility are controlled entirely by third parties (such as Google) and depend on many factors outside our control. We do not guarantee any particular search ranking, position, indexing, traffic, or outcome, and no such result forms part of our contract with you.

9. Intellectual Property

The Site, its design, and its content (excluding information you provide) are owned by us or our licensors and are protected by intellectual property laws. You retain ownership of the underlying facts and materials you provide, subject to the licence granted in section 6. You may not copy, resell, or exploit any part of the Service except as permitted by these Terms.

10. Acceptable Use

You agree not to use the Service or Site to publish unlawful, infringing, harassing, or misleading content, to impersonate others, or to interfere with the security or operation of the Site.

11. Third-Party Services

We rely on third-party providers, including our payment processor (Stripe) and our hosting and analytics providers. Your use of those services may be subject to their own terms. We are not responsible for the acts or omissions of third parties.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties not expressly set out in these Terms, including any implied warranties of merchantability or fitness for a particular purpose. We do not warrant that the Site will be uninterrupted or error-free.

13. Limitation of Liability

To the fullest extent permitted by law, our total liability to you arising out of or in connection with the Service will not exceed the total fees you have paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, or for loss of profits, reputation, or data. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or costs arising from information you provide for your profile, your breach of these Terms, or your infringement of any third-party rights.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Site. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of [ENGLAND AND WALES - CONFIRM JURISDICTION], and the courts of that jurisdiction will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights available to you in your country of residence.
